Employer of record and Skilled Worker sponsorship: who must control the job?

An employer-of-record agreement can allocate payroll, employment administration and contractual risk. It cannot move sponsor responsibility away from the organisation that must control the sponsored job, or convert a client vacancy into a permitted third-party project.

Immigration Rules and sponsor guidance checked 23 September 2026

The contract label does not decide who can sponsor the worker.

Appendix Skilled Worker SW 5.6 excludes third-party hiring and ongoing routine service models. Sponsor guidance Part 2 requires the sponsor to retain full responsibility for the worker's duties, functions and outcomes or outputs. An employer-of-record structure must be tested against both controls.

The position

An employer of record can sponsor only where it is the real sponsor, not an immigration intermediary

An employer of record may sponsor a Skilled Worker only if it holds the correct licence, genuinely employs or engages the worker, pays them as stated and has full responsibility for the duties, functions and outcomes of the sponsored job. It cannot lawfully sponsor a person merely so that a client without the appropriate licence can direct that person in its own continuing vacancy or routine service. A payroll bureau that only processes salary does not become the sponsor, and a client cannot rely on contract terminology if the operating facts show labour supply.

  • The sponsor guidance recognises limited cases without a direct employer-employee relationship, but the sponsor must still be able and willing to perform every sponsor duty and the Home Office will scrutinise the arrangement.
  • A genuine time-limited service or project can involve work at a client's premises where the sponsor retains responsibility for the work and its defined output.
  • Group-company employment is governed by separate registered-branch and related-organisation provisions and should not be assumed to validate an unrelated EOR model.

Employer-of-record arrangements are often presented as a way to hire in a country before the operating business has established its own employing entity, payroll or sponsor licence. The commercial agreement may make the EOR the legal employer, place the individual on its payroll and allocate employment liabilities between provider and client.

Skilled Worker sponsorship asks a different question. The Home Office examines the sponsored job, the organisation accepting sponsor responsibility and the person who controls the duties, functions and outcomes or outputs. It also asks whether the worker is being hired out to fill a position with a third party or to provide that third party's ongoing routine service.

The analysis is therefore not resolved by identifying the entity named as employer in the EOR agreement. The structure must reconcile the licence holder, legal employer, payer, operational controller, job owner and recipient of the work. Where those identities diverge, the divergence must have a lawful explanation supported by the operating evidence.

02 · Classify the model

Payroll processing, genuine sponsorship and labour supply are 3 different arrangements.

A payroll bureau may calculate deductions, produce payslips and transmit salary as agent for the sponsor. If the sponsor remains the employer, owes the salary and controls the job, outsourced payroll administration does not necessarily change sponsor identity. The evidence should still make the sponsor's responsibility and payment trail intelligible.

An EOR that genuinely employs and sponsors the worker occupies a different position. It must hold the appropriate licence, assign the Certificate of Sponsorship, pay the required salary, complete the right to work and record-keeping duties, monitor and report the worker and exercise full responsibility for the sponsored duties and outcomes.

The exposed model is an EOR that supplies its licence and payroll while the client recruits the person into the client's ordinary organisational chart, sets the continuing responsibilities, manages performance and receives the role as part of its own business. Calling the individual an EOR employee does not answer the third-party work prohibition.

Payroll agent

Processes pay for the real employer and sponsor without taking ownership of the job.

Genuine EOR sponsor

Holds the licence and can prove substantive responsibility for the employment, sponsored role and outputs.

Licence intermediary

Places the worker into the client's continuing vacancy while retaining only contractual and administrative functions.

03 · Third-party boundary

The decisive restriction reaches both a client vacancy and an ongoing routine service.

Appendix Skilled Worker SW 5.6 requires refusal where there are reasonable grounds to believe the sponsored job amounts to hiring the applicant to a third party to fill a position with that party, whether the position is temporary or permanent. It separately excludes contract work providing an ongoing routine role or service for a third party, regardless of the nature or length of the contractual arrangement.

Sponsor guidance Part 2, S1.34 to S1.38, applies the same distinction at licence level. A sponsor may send its employee to a client's premises to deliver a genuine service or project within a defined period where the sponsor remains responsible for the work and its output. The guidance does not permit the sponsor to hire the worker out as routine labour or leave the third party with responsibility for the job.

A client does not avoid the rule by describing its continuing need as a long project. Under S1.35, the service or project must have a specific end date, after which the project is complete or the service is no longer operated by the sponsor or anyone else. A contract renewal date for a continuing service is not that end point. The evidence should identify the promised result, the sponsor's method and management, the end point and what happens when the result is delivered. A role that continues because the client continues to need an employee is materially different from a project that ends when a defined output has been completed.

04 · Operational reality

Control must extend beyond HR administration to the sponsored work itself.

The relevant control is not confined to signing the employment contract, approving annual leave or running disciplinary procedures. The sponsor should be able to explain who determines priorities, allocates work, supervises quality, assesses performance, changes duties and accepts responsibility for the result.

A client can give instructions within a genuine service engagement without necessarily becoming the employer or job owner. The question is whether those instructions define the result the sponsor must deliver, or whether the client directs the worker as part of its own workforce. Embedded reporting lines, an indefinite client role, client-only appraisal and a replacement obligation framed around maintaining headcount all point toward labour supply rather than independent delivery.

The sponsor's managers must have the knowledge and authority required to monitor attendance, changes of work location, absences, salary, duties and cessation. An EOR that receives those facts only after the client decides them may struggle to show effective sponsor control rather than retrospective administration.

05 · Evidence architecture

The Certificate of Sponsorship must agree with the contracts, payroll and working record.

The Certificate of Sponsorship identifies the licensed sponsor, occupation, job description, salary, work dates and locations. The worker's contract, any client services agreement, payroll registration, invoices, organisational charts and daily operating records should not tell a different story.

Appendix D requires payslips and evidence of the amount and frequency of salary payments, with the sponsored worker individually identifiable. Where a payroll provider makes the transfer, the records should show whose salary obligation is being discharged and allow the Home Office to reconcile the payment with the Certificate of Sponsorship.

The services agreement should identify a genuine deliverable where the worker will perform contract work for a client. Statements of work, governance records and project plans should establish scope, responsible management, milestones, acceptance criteria and the defined end point. A generic consultancy agreement cannot cure an operating model in which the client has filled its own vacancy.

06 · Compliance ownership

A split operating model must still produce one complete sponsor control system.

The sponsor must conduct the required right to work check for a worker it wishes to sponsor, including where the worker is not its direct employee. The direct employer may also require its own statutory excuse. The file should identify which entity performed each check and why, rather than assume that access to one share code record resolves every entity's position.

Reporting duties remain with the sponsor. It must receive reliable information soon enough to report prescribed changes within the applicable deadline. Contractual notification clauses are useful only if managers understand them and the information reaches an authorised SMS user in practice.

The control should cover work locations, hybrid working, salary and hours, significant duty changes, absence, termination, client reassignment and the end of a project. If the client can make any of those decisions without an effective sponsor review, the weakness concerns the structure as well as the record kept after the event.

07 · Alternative structure

The business owning the continuing vacancy may need its own sponsor licence.

Where the individual will join the client's team in a continuing role controlled by that business, the more coherent model may be for the client to employ and sponsor the worker directly. Payroll administration can still be outsourced without outsourcing the sponsored job.

A business should not postpone this analysis until after the worker has started. Licence preparation, key personnel, supporting documents, role design, Defined Certificate of Sponsorship timing where relevant and the worker's application all belong on the recruitment critical path.

If the client is not yet operating or trading in the UK, an EOR is not automatically a substitute for the correct market-entry route. UK Expansion Worker, Skilled Worker, Global Talent, Innovator Founder and visitor permissions answer different questions. The planned UK activity and entity timetable should be fixed before a route is selected.

08 · Existing cases

Do not amend the paperwork before establishing the present legal and factual position.

An existing EOR arrangement should first be mapped without assumption: who assigned the Certificate of Sponsorship, who employs and pays the worker, who owns the role, where the work is performed and who controls duties and outcomes. The documents should then be compared with payroll and the worker's account of ordinary working practice.

If the arrangement may amount to labour supply or the sponsor lacks control, a new contract label is not a complete remedy. The business may need to stop or restructure the client work, obtain a sponsor licence, assign a new Certificate of Sponsorship and secure a change of employment application before the worker begins a new sponsored role.

Any corrective report or licence disclosure should be accurate, timed and supported by a wider review. An unstructured message to the Home Office can create additional discrepancies without resolving the underlying job, employer or permission position.

09 · Counsel judgment

Approve the structure only when 6 identities produce a coherent answer.

The decision record should name the sponsor, legal employer, salary obligor, payroll processor, operational controller and owner of the continuing role. It should then explain why those identities either coincide or lawfully differ.

The strongest file does not depend upon the EOR label. It demonstrates that the licensed sponsor owns a genuine eligible job, performs the sponsor duties, pays the promised salary and controls the work, or that a defined client project falls within the contract-working framework without filling the client's routine position.

That conclusion should be reached before an offer is made or a Certificate of Sponsorship is assigned. Once the worker has started inside the client's organisation, the practical facts may be more difficult to reconcile and the consequences can extend from the individual application to the sponsor's wider licence. S1.38 states that the Home Office will revoke the licence where it finds routine labour supply or the absence of full sponsor responsibility.

Employer-of-record sponsorship control

A 9 point decision before the EOR contract is signed.

Test the job and operating model before allocating immigration responsibility by contract.

01

Identify the vacancy owner

Record which business needs the continuing role and why it exists.

02

Name the licensed sponsor

Confirm the correct Worker licence and who will assign the Certificate of Sponsorship.

03

Fix the employment relationship

Distinguish the legal employer from a payroll agent and from the client receiving work.

04

Map control

Identify who sets duties, supervises performance, changes the role and accepts the output.

05

Classify client work

Separate a defined service or project from a third-party vacancy or ongoing routine service.

06

Reconcile salary

Align the contractual obligation, PAYE, payslips, bank transfer and Certificate of Sponsorship.

07

Allocate compliance

Make right to work, monitoring, record keeping and SMS reporting operational rather than contractual promises.

08

Choose the correct route

Consider direct client sponsorship or another lawful route before relying on the EOR model.

09

Control the start date

Do not begin a new sponsored role until the required licence and permission sequence is complete.

Practical questions.

Can an employer of record sponsor a Skilled Worker in the UK?

Potentially, but only where the EOR holds the correct sponsor licence and is substantively responsible for the sponsored employment, pay, duties and outcomes. It cannot use its licence simply to place a worker into a client's continuing vacancy or routine service.

Can the client manage the sponsored worker day to day?

Some client instructions can be consistent with a genuine service or project, but the sponsor must retain full responsibility for the worker's duties, functions and outcomes or outputs. A client-directed role inside the client's ordinary workforce may fall within the prohibited third-party model.

Does outsourced payroll create an employer-of-record problem?

Not by itself. A payroll provider can act as an administrator for the real employer and sponsor. The records must still show who owes the salary, identify the worker's payments and reconcile payroll with the Certificate of Sponsorship and actual employment.

Can the client sponsor while the EOR is the legal employer?

A direct employment relationship is the normal position but not the only one recognised by sponsor guidance. The client would nevertheless need the correct licence and must be able to perform every sponsor duty and prove full responsibility for the sponsored job. The legal and operating structure requires close assessment rather than reliance on the client label.

What should a business do if the worker is already in an EOR arrangement?

Map the existing sponsor, employer, pay and control position before changing documents or duties. If the model does not satisfy the sponsorship rules, the remedy may require a different employer, a new Certificate of Sponsorship and an approved change of employment application before the new arrangement begins.

An employer-of-record model should not be selected first and defended later. The business should identify who owns and controls the permanent job, then choose a sponsorship and employment structure that states that position accurately. If the commercial objective is to place an individual into the client's continuing team while another company supplies the payroll and licence, the central immigration problem remains even if the employment documents are carefully drafted.

Follow the sponsor position from licence to continuing control.

Applications, sponsored roles, reporting, payroll and inspection readiness form one regulatory system. Continue with the part of that system that determines the present risk.
